Terms & Conditions for Tianjin Weipeng Cultural Relics Preventive Protection Technology Co., Ltd.
1. Introduction
These Terms & Conditions outline the agreement between Tianjin Weipeng Cultural Relics Preventive Protection Technology Co., Ltd. ("Weipeng") and its clients. By engaging with our services, clients agree to these terms.
2. Scope of Services
Weipeng provides specialized solutions for artifact protection, including custom-designed equipment and installation services. All services are carried out according to mutually agreed specifications, which are confirmed during the consultation phase.
3. Orders & Acceptance
All orders are subject to acceptance based on a detailed proposal and final client approval. Weipeng reserves the right to modify or cancel orders based on material availability or other unforeseen factors. A contract will be formalized once specifications, pricing, and deadlines are agreed upon. A non-refundable deposit may be required to secure the order.
4. Pricing & Payment Terms
Pricing is determined based on the custom nature of the products, the complexity of the solution, and material costs at the time of the order. Payment terms include an initial deposit followed by milestone payments or full payment upon delivery, depending on the project. Late payments may incur additional fees or penalties.
5. Delivery, Installation & Risk Transfer
Delivery timelines are estimates and depend on product complexity and manufacturing schedules. Weipeng strives to meet agreed-upon deadlines but is not liable for delays caused by circumstances beyond its control. Upon delivery, ownership and risk of loss or damage transfer to the client unless Weipeng also provides installation services, in which case risk transfers upon completion of installation.
6. Warranty & Limitations
Weipeng guarantees its products against defects in materials and workmanship for one year from the date of delivery. This warranty excludes damage from misuse, improper installation (if not performed by Weipeng), unauthorized alterations, or normal wear and tear. Any repair or replacement under warranty will be conducted at Weipeng’s discretion.
7. Customization & Client Responsibilities
All custom solutions are developed based on client specifications and requirements. Clients are responsible for providing accurate information regarding their artifact protection needs. Any changes to the scope of the project after order confirmation may result in adjusted pricing and delivery timelines.
8. Intellectual Property
All design materials, drawings, prototypes, and product innovations developed by Weipeng during the project remain the intellectual property of Weipeng unless otherwise agreed in writing. Unauthorized reproduction, sharing, or distribution of Weipeng’s proprietary designs is strictly prohibited.
9. Confidentiality
Weipeng and the client agree to maintain the confidentiality of all proprietary information shared during the consultation and project development phases. This includes designs, technical specifications, and pricing.
10. Limitation of Liability
Weipeng’s liability is limited to the direct damages incurred by the client due to defects in materials or workmanship. In no case shall Weipeng be responsible for indirect, incidental, or consequential damages, including but not limited to loss of revenue, profit, or artifacts.
11. Dispute Resolution
Any disputes arising from these Terms & Conditions will be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved, it shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
12. Governing Law
These Terms & Conditions are governed by the laws of the People's Republic of China. Any legal action must be brought in the jurisdiction of Tianjin, China.
13. Amendments
Weipeng reserves the right to update or modify these Terms & Conditions at any time. Any changes will be communicated to the client in writing prior to taking effect.
